Terms of Service

These Terms govern your use of BidSpring ("the Service"), operated by MachEvo Technologies FZE, United Arab Emirates. By creating an account or using the Service, you agree to these Terms.

1. What the Service does

BidSpring analyzes Amazon advertising reports you upload (Search Term Report, Bulk file, optional Helium 10 export) and returns recommendations — suggested bid changes, negations, and keyword harvests — plus a downloadable bulk file. BidSpring does not connect to, modify, or take any action on your Amazon account. You review the recommendations and decide what, if anything, to upload back to Amazon yourself.

2. Service availability

The Service is provided on an "as is" and "as available" basis. Features may change, be added, or be removed, and the Service may occasionally be unavailable or contain errors. We do not guarantee uninterrupted or error-free operation.

3. Your responsibilities

  • You confirm you own, or are authorized to use, the data you upload.
  • You are solely responsible for reviewing every recommendation and for any change you choose to apply to your Amazon account. BidSpring suggests; you decide and act.
  • You will use the Service only for your own legitimate Amazon advertising and in compliance with Amazon's policies and applicable law.

4. No guarantee of results

Recommendations are informational and based on the data you provide. We do not guarantee any particular advertising outcome (sales, ACOS, ranking, or savings). Amazon advertising results depend on many factors outside our control.

5. Free trial, fees & cancellation

  • Free trial: new accounts get a 14-day free trial with full access. No credit card is required to start the trial.
  • Subscription: after the trial, continued use requires a paid subscription, currently USD $19/month (a founding rate; standard price $29/month). Prices are in USD and may be subject to applicable taxes.
  • Billing: payments are processed by our payment provider, Stripe. Your subscription renews automatically each month until you cancel; by subscribing you authorize these recurring charges.
  • Cancellation: you may cancel at any time from your account ("Manage billing"). Cancellation stops future charges and your access continues until the end of the current paid period, after which it ends.
  • Refunds: fees are non-refundable, including for partial billing periods — the 14-day free trial is provided so you can evaluate the Service before any charge.
  • Price changes: we may change prices with prior notice; founding-rate users keep their rate for as long as their subscription remains continuously active.

6. Acceptable use

Don't misuse the Service: no attempting to breach security or access other users' data, no reverse-engineering, no reselling or automated abuse, no unlawful use.

7. Intellectual property

BidSpring and its software remain our property. Your uploaded data remains yours; you grant us only the limited permission needed to process it and provide the Service to you.

8. Limitation of liability

To the maximum extent permitted by law, BidSpring and its operator are not liable for indirect, incidental, or consequential damages, or for advertising losses, lost profits, or decisions made based on the recommendations. Our total aggregate liability is limited to the greater of the fees you paid us in the 6 months before the event giving rise to the claim, or USD 50.

9. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate accounts that violate these Terms.

10. Changes to these Terms

We may update these Terms; we'll update the "Last updated" date and, for material changes, notify you. Continued use means you accept the updated Terms.

11. Governing law

These Terms are governed by the laws of the United Arab Emirates.
